Propose you disconnect from internet and disable McAfee entirely, boot and see if the agent kicks up. UD.exe is known to get blocked by false positives. It would eliminate that factor if it still does not start.

Added: Just seeing the edit to report HPF2 started, how many bytes did it download? Did you have HPF2 before? Did you have FAAH before?
