i have tried sysinternals process mon. while opening it is trying to load close to 9 lakhs events and finally shown an error link memory allocation failed. During the time the poller run time went upto 235 seconds and few hosts RRD's were no updated properly.
i think it will eat more CPU & Memory of the server hardware.

That's impossible. You mean they both have the same parent ID? The PID of each process is unique.
If you switch to the cmd.php poller, any of these issues occur?
